Hardpoint private beta terms
1 Provider and agreement
Hardpoint is a software service operated by Bryan Genthe under the Hardpoint brand. These terms govern private-beta access by the company identified in the written onboarding confirmation. The person accepting for that company must have authority to do so. We will provide these terms before payment and record the company’s acceptance. Questions about this agreement may be sent to billing@hardpoint.tools.
2 Service and access
Hardpoint is a forward-looking business planning and decision tool for cash forecasts, company costs and scenarios. It is not accounting, payroll, estimating, project management, invoicing or general-ledger software. Access is invite-only and manually provisioned for one company and two named users: its Owner and one Company Admin. Both may work with company planning data; the Owner manages the second-seat invitation.
Use your own invited email and protect sign-in links and account access. Do not share seats, access another company’s workspace, bypass access controls, interfere with the service or upload unlawful content. Notify support@hardpoint.tools promptly if access may have been compromised.
3 Price and payment
The private-beta fee is $149 USD per company per month, with no setup fee. It includes two seats, guided onboarding, weekly check-ins and email support. Support covers product use and issues; it does not include bookkeeping, unlimited data entry or independent verification of your financial records.
Payments are collected manually through a private Stripe Payment Link or invoice after fit approval. There is no automatic subscription charge. The first payment is due before guided onboarding; the first paid month starts on the guided-onboarding date. We will confirm the dates covered and the next payment date in writing. Later paid months require manual payment and confirmation. Any applicable tax will be disclosed before payment. A proposed price change will be disclosed before you agree to a later paid period.
4 Cancellation and first month refund
Email billing@hardpoint.tools before the next paid month to cancel. Access continues through the current paid period. You may request a full refund of the first month’s payment within seven days after guided onboarding. Refunds return through the original payment method, subject to payment-provider processing time. Refund requests outside this promise will be reviewed individually and remain subject to applicable law.
The beta’s four weekly feedback cycles are a participation milestone, not an automatic access cutoff. Continuing access follows the agreed paid periods. The current beta price is not a permanent price guarantee.
5 Your inputs and decisions
You are responsible for the accuracy, completeness and lawful use of submitted data, assumptions and updates. Review reconciliation exceptions and keep your own source records. Forecasts and scenarios depend on those inputs and can change; they do not guarantee cash availability, profitability or any business outcome. You remain responsible for decisions and for obtaining appropriate accounting, tax, legal or other professional advice.
6 Company data and software rights
You retain your rights in company data. You authorize Hardpoint and the service providers described in the Privacy Notice to process that data as needed to operate, secure and support your workspace, follow your instructions and meet legal obligations. You must have authority to provide information about employees, customers and others. Submit only the information needed for planning and reconciliation; do not upload Social Security numbers, bank-login credentials, full payment-card numbers or medical records.
Bryan Genthe retains ownership of Hardpoint’s software, design and related intellectual property. Your access is permission to use the service for the approved company during the agreed period; it does not transfer ownership of Hardpoint. Product feedback may inform improvements, but does not authorize disclosure of confidential company data or use of your name or logo as an endorsement.
7 Confidential handling and privacy
Hardpoint will use nonpublic company information for service delivery, support, security, your instructions and legal requirements. We will not make your workspace or nonpublic financial data available to other beta companies. Access by the operator and service providers is limited to those purposes. The Privacy Notice explains the data categories, providers and request process. You remain responsible for managing your users and their authority to access company data.
8 Beta availability and service changes
The beta may contain defects, require maintenance or experience interruptions. No uninterrupted-availability or response-time guarantee is included. We may make changes consistent with the beta’s purpose and will communicate material changes affecting your paid access. If Hardpoint ends the service before the end of a paid period, we will provide a proportionate refund for the unused portion, unless a different lawful arrangement is agreed with you.
We may temporarily restrict access when reasonably necessary to address a security incident, unlawful use or a material breach of these terms. We will give notice and an opportunity to address the issue when practical. This does not authorize arbitrary cancellation of an otherwise valid paid period.
9 Data return and retention
A verified company Owner may request a manual copy of company data by emailing support@hardpoint.tools within 30 days after paid access ends. We will confirm the available data, scope and delivery timing by email. There is no automatic self-service export or deletion workflow. Cancellation does not itself erase company records. Return/deletion requests, retained audit records and backups are handled as described in the Privacy Notice and subject to applicable law.
10 Warranties and liability
To the extent permitted by law, the beta is provided as available without implied warranties of merchantability, fitness for a particular purpose or uninterrupted or error-free operation. This does not limit an express refund promise in these terms or a right that cannot lawfully be excluded.
To the extent permitted by law, neither party is responsible under this agreement for indirect or consequential losses, including lost profits or lost business opportunities. Hardpoint’s total liability arising from this agreement is limited to the fees the company paid for Hardpoint during the 12 months before the event giving rise to the claim. These exclusions and this cap do not apply to fraud, willful misconduct or liability that applicable law does not permit the parties to exclude or limit.
Material changes to these terms will be provided before a later paid period takes effect. Contact billing@hardpoint.tools about payment or terms, and support@hardpoint.tools about service or data requests.
